InferX Affiliate Program Agreement
This Affiliate Program Agreement governs your participation in the InferX Technologies, Inc. Affiliate Program. By joining the program, you agree to these terms.
Program Overview
The InferX Affiliate Program allows participants ("Affiliates") to earn commissions by referring new paying customers to InferX. Affiliates receive a unique referral link to share with their audience. When a referred user becomes a paying customer, the Affiliate earns a commission on that customer's revenue.
Commission Structure
Affiliates earn 10% of net revenue generated by each referred paying customer. Commissions are paid for a period of 12 months from the date the referred customer makes their first payment. After 12 months, no further commissions are owed on that customer's revenue. Commissions apply to all paid plans including Pro and Enterprise.
Qualifying Referrals
A referral qualifies for commission when: (a) the referred user signs up using the Affiliate's unique referral link, and (b) the referred user becomes a paying customer by subscribing to a paid InferX plan. Free signups, free trial usage, and credits-only usage do not qualify. Self-referrals are not permitted.
Tracking and Attribution
Referrals are tracked via cookies and URL parameters tied to the Affiliate's unique referral link. Attribution is on a last-click basis with a 30-day cookie window. If a referred user does not convert within 30 days of clicking the referral link, the referral is not attributed to the Affiliate.
Payouts
Commissions are calculated monthly and paid within 30 days of the end of each calendar month. The minimum payout threshold is $50. If the Affiliate's balance is below $50, the balance rolls over to the following month. Payouts are made via Stripe or PayPal at the Affiliate's election.
Prohibited Activities
Affiliates may not: (a) bid on InferX brand keywords in paid search advertising; (b) create fake accounts or generate fraudulent signups; (c) use spam, unsolicited email, or deceptive practices to promote InferX; (d) make false or misleading claims about InferX products, pricing, or capabilities; (e) use InferX trademarks in domain names or social media handles without prior written consent; (f) engage in any activity that violates applicable laws.
Intellectual Property
InferX grants Affiliates a limited, non-exclusive, revocable license to use the InferX name and logo solely for promoting InferX through the Affiliate Program. All use must comply with InferX brand guidelines. InferX reserves the right to revoke this license at any time.
Termination
Either party may terminate this Agreement at any time with 15 days written notice. InferX reserves the right to immediately terminate an Affiliate's participation for violation of these terms. Upon termination, the Affiliate will receive any unpaid commissions earned prior to the termination date, provided the minimum payout threshold has been met. No commissions are owed on payments received after the termination date.
Modifications
InferX reserves the right to modify these terms at any time. Affiliates will be notified of material changes via email. Continued participation after notification constitutes acceptance of the modified terms.
Limitation of Liability
InferX is not liable for any indirect, incidental, or consequential damages arising from the Affiliate's participation in the program. InferX's total liability shall not exceed the total commissions paid to the Affiliate in the 12 months preceding the claim.
Relationship
Affiliates are independent contractors, not employees, agents, or partners of InferX. This Agreement does not create an employment, agency, partnership, or joint venture relationship.
Governing Law
This Agreement is governed by the laws of the State of Delaware. Any disputes shall be resolved in the state or federal courts located in Delaware.
By joining the InferX Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms.
